Rooted Solutions Terms of Service

These Terms of Service (“Terms”) govern your use of the Rooted Solutions website at rootedsolutions.co (the “Website”) and the services provided by Rooted Solutions (“Rooted Solutions,” “we,” “us,” or “our”). By using the Website or our services, you agree to these Terms. If you do not agree, do not use them.
1. Our Services
Rooted Solutions is a creative marketing and analytics agency. Our services may include creative production, marketing strategy, advertising management, and data analytics and reporting (the “Services”).
As part of our analytics Services, we may connect to third-party platforms, such as Meta (Facebook and Instagram), Google, email marketing platforms, and e-commerce platforms, using access our clients grant us. We use that data to build private, internal dashboards and reports for the client who owns it.
The specific scope, deliverables, and fees for any client engagement are set out in a separate written agreement, statement of work, or proposal (a “Client Agreement”). If a Client Agreement conflicts with these Terms, the Client Agreement controls.
2. Client Responsibilities
When you engage us or authorize access to your accounts, you agree that:
- You own or have the authority to grant us access to the ad accounts, Pages, social accounts, and other platforms you connect.
- The information and materials you provide are accurate and do not infringe anyone else’s rights.
- You will comply with the terms and policies of any third-party platform you use, including Meta’s Platform Terms and Advertising Policies.
- You are responsible for approving any ads, content, or campaigns before they go live, unless your Client Agreement says otherwise.
3. Platform Access and Data Use
You may grant or revoke our access to your third-party accounts at any time through those platforms’ settings. We use data obtained through that access only to provide the Services to you, as described in our Privacy Policy.
We will never sell your data, publish it publicly, or share it with other clients. You retain ownership of your data. When our engagement ends or you revoke access, we will delete your platform data as described in our Privacy Policy and Data Deletion Instructions.
4. Acceptable Use of the Website
You agree not to misuse the Website. This includes attempting to gain unauthorized access, disrupting or overloading it, scraping it with automated tools, or using it for any unlawful purpose.
5. Intellectual Property
The Website and its content, including text, graphics, logos, video, and design, are owned by Rooted Solutions or its licensors and protected by copyright and trademark law. You may not copy, reproduce, or distribute Website content without our written permission.
Ownership of creative deliverables, such as video, photography, and design work, is governed by your Client Agreement. Unless it says otherwise, we keep ownership of our pre-existing tools, methods, software, templates, dashboards, and analytics models, and we may show completed work in our portfolio unless you ask us not to.
6. Fees and Payment
Fees, payment schedules, and expenses are set out in your Client Agreement. Unless it states otherwise, invoices are due within 30 days, and we may pause Services on accounts that are past due.
7. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only to perform or receive the Services. This does not apply to information that is already public, independently developed, or required to be disclosed by law.
8. Disclaimers
The Website and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Marketing results depend on many factors outside our control. We do not guarantee any specific outcome, such as sales, revenue, return on ad spend, or audience growth. Analytics and reports rely on data from third-party platforms, which may be delayed, incomplete, or changed by those platforms. We are not responsible for outages, policy changes, or account actions taken by third-party platforms.
9. Limitation of Liability
To the fullest extent permitted by law, Rooted Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Website or Services. Our total liability for any claim will not exceed the fees you paid us for the Services giving rise to the claim in the 3 months before it arose.
10. Indemnification
You agree to indemnify and hold Rooted Solutions harmless from any claims, losses, or expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your violation of any law or third-party platform policy, or content and materials you provide to us.
11. Termination
Either party may end an engagement as provided in the Client Agreement. We may suspend or end access to the Website or Services if you breach these Terms. Sections on intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Manatee County, Florida, and you consent to their jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page with a new effective date. Continued use of the Website or Services after changes take effect means you accept the updated Terms.
14. General
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with any Client Agreement and our Privacy Policy, are the entire agreement between you and Rooted Solutions about their subject matter.
